These Terms and Conditions (“Terms”) govern your access to and use of the Celestial Divide website, software platform, applications, trial versions, content, and related services (collectively, the “Services”) provided by Celestial Divide, LLC (“Celestial Divide,” “we,” “us,” or “our”).

By accessing, browsing, registering for, or using the Services in any manner, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility and Acceptance

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.

Use of the Services constitutes acceptance of these Terms.

2. Scope of Services

Celestial Divide provides a technology platform intended to assist users in organizing estate information, evaluating estate division scenarios, coordinating beneficiary inputs, and generating analytical outputs for informational and documentation purposes.

The Services are intended solely as decision-support tools. Celestial Divide does not guarantee that any output, result, or analysis will be accurate, complete, legally compliant, or suitable for any particular estate, jurisdiction, or circumstance.

Celestial Divide may modify, suspend, or discontinue any part of the Services at any time without notice.

3. No Legal, Fiduciary, or Professional Advice

Celestial Divide is a technology provider only. The Services do not provide legal, tax, accounting, financial, investment, appraisal, or fiduciary advice.

Celestial Divide does not:

  • Act as an executor, trustee, fiduciary, or personal representative
  • Interpret or apply probate, trust, or estate law
  • Determine asset ownership, title, valuation, or legal priority
  • Resolve disputes among beneficiaries or interested parties

All estate-related decisions remain the sole responsibility of the estate’s executor, trustee, professional advisor, or other legally authorized individual.

You are responsible for obtaining independent legal, tax, appraisal, and professional advice before relying on any output generated by the Services.

4. Platform Methodology and Outputs

Celestial Divide uses a proprietary, rules-based analytical process that relies entirely on user-provided inputs and assumptions.

Effective Sales Price (ESP)

For analytical purposes, the platform may calculate an Effective Sales Price (“ESP”), defined as an asset’s estimated fair market value minus estimated costs of sale, including transaction fees, commissions, taxes, and other anticipated expenses.

Beneficiary bids below the ESP may be treated as economically equivalent to a third-party sale at the ESP for modeling purposes only.

Iterative Analysis

If an initial solution cannot be generated, the platform may identify assets for potential sale based on bidding behavior and re-run analyses iteratively. Assets with low or no bids may be prioritized for sale within the model.

All iterations are documented to demonstrate a structured analytical process. This documentation does not constitute proof of legal compliance or prudence under any statute or court standard.

No Guarantee of Legal Compliance

Celestial Divide does not guarantee compliance with the Michigan Estates and Protected Individuals Code (“EPIC”) or any other law. Estate priorities and legal obligations may differ from platform assumptions.

5. User Responsibilities and Representations

You represent and warrant that:

  • All information you enter is accurate to the best of your knowledge
  • You have authority to enter estate information and beneficiary data
  • You have obtained any required consents from beneficiaries or third parties
  • You will not rely on the Services as a substitute for professional advice

Asset Values

Any asset values entered reflect a good-faith estimate of fair market value based on available information. Values are not appraisals. Beneficiaries should obtain independent professional appraisals before placing bids or making decisions.

Celestial Divide does not verify, validate, or endorse asset values.

6. Trials and Access

Celestial Divide may offer trial access at its discretion. Trial access may be limited, modified, or terminated at any time without notice.

Trial users are subject to these Terms in full.

7. Fees and Payment

Some features require payment. Fees, pricing, and payment terms will be disclosed at the time of purchase or in a separate agreement.

Unless otherwise stated:

  • Fees are non-refundable
  • Unused access or features do not result in credits or refunds

Failure to pay may result in suspension or termination.

8. Data, Privacy, and Security

Your use of the Services is subject to Celestial Divide’s Privacy Policy.

You acknowledge that no system is completely secure. While Celestial Divide uses commercially reasonable safeguards, it does not guarantee absolute security of data.

You are responsible for maintaining the confidentiality of your account credentials.

9. Intellectual Property

All content, software, algorithms, workflows, designs, and documentation are the exclusive property of Celestial Divide and its licensors.

You are granted a limited, non-exclusive, revocable license to use the Services for lawful purposes only.

You may not copy, reverse engineer, distribute, or create derivative works from the Services.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CELESTIAL DIVIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR BASED ON ERRONEOUS INPUTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • CELESTIAL DIVIDE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING TWELVE MONTHS, OR $100 IF NO FEES WERE PAID

12. Indemnification

You agree to indemnify and hold harmless Celestial Divide from claims arising out of:

  • Your use of the Services
  • Estate decisions or beneficiary disputes
  • Inaccurate or unauthorized data entry
  • Violation of these Terms

13. Arbitration and Class Action Waiver

Any dispute shall be resolved through binding arbitration in Michigan. You waive the right to a jury trial and to participate in class actions, to the extent permitted by law.

14. Termination

Celestial Divide may suspend or terminate access at any time for any reason, including misuse or breach.

Upon termination, your right to use the Services ceases immediately.

15. Governing Law

These Terms are governed by the laws of the State of Michigan.

16. Changes to Terms

Celestial Divide may modify these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
